Building on the general discussion and hypothetical introduced in Part I, Equity Shareholder Himesh Gandhi moderates a discussion with Shareholder David Bledsoe speaking on common corporate issues involved in commercial real estate acquisitions, including choice of entity and corporate structures to minimize liability, joint venture structures, the use of independent directors, and the assumption of the seller’s service contracts. Associate Brittan Johnson will then discuss common securities-law issues in commercial real estate acquisitions, including issues in securities offerings under Rules 506(b) and 506(c) under Regulation D; disclosure issues in private placement memoranda; the Form D filing process with the Securities Exchange Commission; and issues related to state blue sky notice requirements.
